Enel was the first Italian company to adopt the Organizational and
Management Model set out by the Legislative Decree 231 dated June 8th. 2001,
which introduced a framework for corporate administrative accountability and
introduced corporative liability for certain offences.
The Model, originally adopted by Enel S.p.A.’s Board of Directors on July 23rd
2002, was updated and further integrated following subsequent
regulations.
The Model also complies with the guidelines drawn up by trade associations, and
is a further step toward greater rigorousness, transparency and responsibility
in both its internal and external relations, in order to fully guarantee an
effective and correct management to its stakeholders.
The “general section” of the Model includes the following:
- contents, objectives and model functioning;
- mandatory tasks for the control organ when it supervises the adequate
functioning and observance of the Model, including the management of updating,
info streams and sanctions.
The “special parts” concern all offenses contemplated by Legislative
Decree 231/2001, which the Model aims to prevent.
Any violation, or suspected violation, of the 231/01 Model and or any other
information regarding Model implementations may be notified to the Enel SpA
Compliance Officer.
