Organizational Model Pursuant to Legislative Decree 231/2001
In 2002, Enel became the first Italian company to adopt the Organizational and Management Model set out by the Legislative Decree n. 231 of June 8 2001, which introduced a framework of corporate administrative accountability – but which also introduced criminal liability - in which companies are henceforth liable for certain offences. In doing so, Enel, continued to keep its commitments to its stakeholders, including those undertaken with the Code of Ethics.
The Organizational and Management Model, originally adopted by Enel S.p.A.’s Board of Directors on July 23 2002, has been updated and further integrated over time, as successive legislative interventions broadened the category of crimes which are considered as falling within administrative liability regulated by Legislative Decree 231/01.
The Model adopted by Enel complies with the guide-lines drawn up by trade associations, with United States best practices, and represents a further step toward greater rigor, transparency and sense of responsibility in both its internal and external relations, offering its stakeholders the best guarantees of an effective and correct management.
Any breaches or suspected non-compliance with the rules and provisions of the 231/01 Model and/or any other pertinent information concerning the implementation of the model should be pointed out to the Enel Spa. Compliance Officer.
