ENEL: SLATES OF CANDIDATES FOR RENEWAL OF BOARD OF STATUTORY AUDITORS HAVE BEEN FILED

Rome, May 2nd, 2016 – Today the Italian Ministry of Economy and Finance and a group of institutional investors, in their capacity as Enel S.p.A. (“Enel”) shareholders, have filed two slates of candidates for the office of Statutory Auditor of the company, in view of the renewal of the Board of Statutory Auditors (whose term is expiring) put on the agenda at the Shareholders’ Meeting convened for May 26th, 2016 in a single call. The filed slates are:

  • Slate No. 1 filed by the Italian Ministry of Economy and Finance, which owns approximately 23.585% of Enel’s share capital, is composed of the following candidates:

          Regular Statutory Auditors:
          1. Roberto Mazzei
          2. Romina Guglielmetti

          Alternate Statutory Auditors:
          1. Alfonso Tono
          2. Michela Barbiero

  • Slate No. 2 filed by a group of 16 mutual funds and other institutional investors (1), which together own approximately 2.155% of Enel’s share capital, is composed of the following candidates:

          Regular Statutory Auditors:
          1. Sergio Duca
          2. Giulia De Martino
   
          Alternate Statutory Auditors:
          1. Franco Tutino
          2. Maria Francesca Talamonti

The slates, together with the relevant accompanying documentation, will be made available to the public, in compliance with the applicable laws, at Enel’s registered office, on the company’s website (www.enel.com), as well as on the Borsa Italiana S.p.A. website (www.borsaitaliana.it) and on the authorised storage mechanism denominated "NIS-Storage” (www.emarketstorage.com).

With reference to the further item on the agenda to be discussed in ordinary session of the aforementioned Enel’s Shareholders’ Meeting relating the determination of the remuneration of the regular members of the Board of Statutory Auditors, the Italian Ministry of Economy and Finance has furthermore disclosed its intention to propose to the same Shareholders’ Meeting a gross annual remuneration of 85,000 euros for the Chairman and of 75,000 euros for the other regular Statutory Auditors, in addition to the reimbursement of properly documented travel and living expenses incurred in performing the duties of the office.
