Enel closes the sale of a photovoltaic generation portfolio in Chile to Sonnedix

  • Enel S.p.A. and Enel Chile S.A. closed the sale of a 416 MW photovoltaic (PV) portfolio to international renewable energy producer Sonnedix, for a total consideration of 556 million US dollars, equal to approximately 525 million euros

 

Rome, October 25th, 2023 - Enel S.p.A. and its listed subsidiary Enel Chile S.A. closed the sale of their entire equity interests[1] in the share capital of Arcadia Generación Solar S.A., a Chilean company which owns a portfolio of four operating PV plants for a total installed capacity of approximately 416 MW, to Sonnedix[2], an international renewable energy producer.

The transaction was closed following the fulfillment of all conditions precedent set forth in the stock purchase agreement signed on July 12th, 2023, including the clearance from the Chilean antitrust authority Fiscalía Nacional Económica (FNE).

Pursuant to the above agreement, the purchaser paid a total consideration of 556 million US dollars, equivalent to approximately 525 million euros, corresponding to the 100% enterprise value agreed by the Parties. The transaction is expected to generate a positive impact on Enel Group net debt of around 525 million euros and on reported Group net income for 2023 of approximately 50 million euros. Conversely, the transaction is set to bear no impact on Group ordinary economic results.

The transaction, in line with the Enel Group’s Strategic Priorities, contributes to the objective of constantly improving the returns on capital employed in support of future development plans.

The solar PV portfolio, located in the regions of Atacama and Antofagasta, in northern Chile, is composed of four plants: Diego de Almagro (36 MW, operational since 2014), Carrera Pinto (97 MW, operational since 2016), Pampa Solar Norte (79 MW, operational since 2016) and Domeyko (204 MW, operational since 2022), which jointly generate approximately 1 TWh/year of net production.
