Enel informs about the purchase of treasury shares between January 15th and 18th, 2024 serving its Long-Term Incentive Plan 2023 and about the conclusion of the share buyback program

Rome, January 22nd, 2024 – Enel S.p.A. (“Enel” or the “Company”) announces that between January 15th and 18th, 2024 it purchased 254,576 treasury shares at a volume-weighted average price of 6.7015 euros per share on the Euronext Milan market organized and managed by Borsa Italiana S.p.A., for a total consideration of 1,706,040.764 euros.

The transaction follows up on the announcement on October 5th, 2023, concerning the start of a share buyback program (the “Program”), implementing the authorization granted by the Shareholders’ Meeting held on May 10th, 2023, and resolved to serve the Long-Term Incentive Plan 2023.

On the basis of the information provided by the intermediary engaged to execute the purchases, the following table summarizes, in daily and aggregate form, Enel ordinary shares’ purchases carried out by the intermediary on the Euronext Milan market during the period indicated above:

As a result of the above transactions, the Program started on October 16th, 2023, under which 4,200,00 Enel shares (equal to around 0.0413% of the share capital) have been bought at a volume-weighted average price of 6.3145 euros per share, for a total consideration of 26,520,849.002 euros, has been completed. Considering the treasury shares already owned, Enel holds as of January 18th, 2024 a total of 10,085,106 treasury shares, equal to around 0.0992% of the share capital.
